This session will explore and define some of the most important dynamics of a nonprofit organization: the role, responsibilities and expectations of and between the Board of Directors, officers, volunteers, Executive Director and staff. How these key organizational players interrelate and work together individually and within groups (such as committees) defines and determines much of a nonprofit organization's effectiveness.
Topics covered include:- The legal function, duties, roles and responsibilities of a nonprofit Board of Directors.
- The differences between nonprofit and for-profit Boards of Directors.
- The differences and interrelationship of governance and management functions.
- The individual roles, authority and responsibility of Board members, the Executive Director, volunteers and staff.
- The individual roles, authority and responsibility of officers, including President, Vice-President, Secretary and Treasurer.
- The Board/Executive Director relationship.
- A review of and best practices related to the development and use of bylaws in guiding the Board.
- The use of policies: their role and how to establish and implement them.
- The role and importance of stakeholders.
- Board development: identifying, recruiting, orienting, motivating and sustaining a high performance Board.
- The function and operation of executive committees.
- The use of committees, task forces and working groups to fulfill the organization's mission (includes more in-depth discussion of committees and meetings as part of the Ensuring Effective Meetings and Committees session).
- The role/charge of organizational maintenance committees, including governance/nominating, finance, audit and legal, personnel, etcetera.
- The use and abuse of parliamentary procedures.
- The "Founder's Syndrome" and strategies for dealing with it.
